Welcome to DealFlow. These Terms of Service ("Terms") govern your access to and use of the DealFlow website, mobile applications, and all related services (collectively, the "Platform") operated by DealFlow ("Company," "we," "our," or "us").
By accessing or using our Platform, creating an account, posting deal listings, browsing deals, or engaging with other users, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE OUR PLATFORM.
We reserve the right to modify these Terms at any time. Your continued use of the Platform following any changes constitutes your acceptance of the revised Terms.
2. Definitions
For the purposes of these Terms, the following definitions apply:
- "Platform" refers to the DealFlow website, mobile applications, APIs, and all related services and tools.
- "User" refers to any individual or entity that accesses or uses the Platform.
- "Wholesaler" refers to a User who lists properties for wholesale assignment or sale.
- "Buyer" refers to a User who seeks to purchase or acquire wholesale properties.
- "Deal" or "Deal Listing" refers to a property listed on the Platform for wholesale.
- "Content" refers to all text, images, data, information, and materials posted or transmitted through the Platform.
- "ARV" refers to After Repair Value, an estimate of a property's value after renovations.
- "Assignment Fee" or "Spread" refers to the profit margin on a wholesale deal.
3. Eligibility
To use our Platform, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using the Platform under applicable laws
- Not have been previously suspended or removed from the Platform
- Comply with all applicable local, state, national, and international laws and regulations
If you are using the Platform on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
Note: Certain features may require additional verification, such as proof of funds for buyers or verification of wholesale contracts for wholesalers. We reserve the right to request documentation to verify your eligibility.
4. Account Registration
To access certain features of the Platform, you must create an account. When creating an account, you agree to:

- Provide true, accurate, and complete information
- Use your real name and contact information
- Not impersonate any person or entity
- Update information promptly when it changes
4.2 Account Security
- Maintain the confidentiality of your password
- Use a strong, unique password
- Not share your account credentials
- Notify us immediately of unauthorized access
4.3 Account Responsibility
- You are responsible for all activity under your account
- You are liable for any unauthorized use
- One account per person or entity
- No automated account creation
4.4 Email Verification
- Verify your email address to activate your account
- Keep your email address current
- Receive important account notifications
- Unverified accounts may have limited functionality
5. Description of Services
DealFlow is an online marketplace that connects real estate wholesalers with cash buyers and investors. Our Platform provides tools and features to facilitate the discovery, listing, and communication related to wholesale real estate opportunities.
Our Services Include:
- Deal Listings: Wholesalers can post properties with details including address, asking price, ARV, photos, and more
- Buyer Profiles: Buyers can create profiles with their investment criteria, budget ranges, and preferred locations
- Search and Discovery: Users can search, filter, and browse deals and buyer profiles
- Contact Facilitation: Connecting wholesalers and buyers through contact information sharing
- Profile Management: Tools to manage your professional presence on the Platform
- Subscription Access: Premium features available through paid subscription plans
5.2 Subscription Requirements
Certain features require an active subscription:
- Viewing detailed property information (addresses, contact details)
- Contacting wholesalers or buyers directly
- Posting and managing deal listings
- Accessing buyer profiles and investment criteria
Important Disclaimer
DealFlow is a marketplace platform only. We are NOT a party to any real estate transaction between users. We do not guarantee, endorse, or verify the accuracy of any listings, user credentials, property values, or other information posted on the Platform. Users are solely responsible for conducting their own due diligence before entering into any transaction.
6. User Responsibilities
As a User of our Platform, you are responsible for:
- Complying with all applicable federal, state, and local laws and regulations regarding real estate transactions
- Obtaining all necessary licenses, permits, and certifications required in your jurisdiction
- Conducting proper due diligence on any properties or parties before entering into transactions
- Verifying all information independently before making investment decisions
- Maintaining professional and respectful interactions with other users
- Keeping your account information up to date and accurate
- Reporting any suspicious activity or violations of these Terms
- Understanding and accepting the risks inherent in real estate investing
7. Deal Listings
When posting deals on the Platform, Wholesalers agree to:
7.1 Listing Requirements
- Have a legitimate, legally binding contract or equitable interest in the property
- Have the legal right to wholesale, assign, or sell the property
- Provide accurate property information to the best of your knowledge
- Clearly disclose the assignment fee or spread
- Update or remove listings promptly when properties are no longer available
- Include accurate photos of the actual property (no stock images)
7.2 Prohibited Listings
- Properties you do not have under contract or equitable interest
- Fraudulent, fake, or misleading listings
- Properties with undisclosed material defects or issues
- Listings that violate fair housing laws or discriminate
- Duplicate listings for the same property
- Properties involved in ongoing legal disputes (without disclosure)
7.3 Listing Accuracy — you represent and warrant that all information is:
- True and accurate to the best of your knowledge
- Not misleading or deceptive
- In compliance with all applicable laws
- Updated promptly when circumstances change
8. Buyer Profiles
When creating a Buyer profile on the Platform, you agree to:
- Provide accurate information about your investment criteria and capabilities
- Not misrepresent your financial capacity or ability to close deals
- Respond promptly and professionally to legitimate inquiries from wholesalers
- Update your profile when your buying criteria or capacity changes
- Not use the Platform solely to gather market intelligence without genuine intent to transact
- Respect the time and efforts of wholesalers by only engaging with deals you are genuinely interested in
9. Reviews & Ratings
Our Platform includes a review and rating system to help users make informed decisions. When using this feature, you agree to:
9.1 Review Guidelines
- Only leave reviews for users you have actually interacted or transacted with
- Provide honest, accurate, and fair assessments of your experience
- Not post false, misleading, or defamatory reviews
- Not offer or accept compensation in exchange for reviews
- Not post reviews on behalf of others or use fake accounts to manipulate ratings
9.2 Review Moderation
We reserve the right to:
- Remove reviews that violate these Terms or our community guidelines
- Investigate reports of fraudulent or retaliatory reviews
- Suspend review privileges for users who abuse the system
- Not be held liable for the content of user-submitted reviews
Reviews represent the opinions of individual users and do not represent the views or endorsement of DealFlow. We do not verify the accuracy of reviews and are not responsible for any decisions made based on review content.
10. Verification System
DealFlow offers a verification badge system to help identify trusted members. Regarding verification:
10.1 Verification Criteria
Users may earn verification through:
- Meeting automatic verification criteria (completed deals, positive reviews, subscription tenure)
- Manual verification by DealFlow administrators at their discretion
10.2 Verification Limitations
- Verification indicates activity on the Platform only, not a guarantee of trustworthiness, competence, or business practices
- We reserve the right to revoke verification at any time for any reason
- Verification does not constitute an endorsement or recommendation by DealFlow
- Users should still conduct their own due diligence regardless of verification status
Disclaimer: The verified badge is provided as a convenience feature only. DealFlow makes no warranties or representations regarding verified users and is not liable for any losses resulting from transactions with verified or non-verified users.
11. Messaging System — Important Disclaimer
Private User-to-User Communication
DealFlow provides messaging functionality solely as a convenience to facilitate direct, private communication between users. DealFlow does NOT monitor, review, moderate, screen, edit, or control the content of messages sent between users. Messages are private communications between the sending and receiving users only.
By using the messaging feature, you acknowledge and agree that:
11.1 No Monitoring or Liability
- DealFlow does NOT actively monitor, read, review, or moderate messages between users
- Messages are private communications between users only — DealFlow is not a party to these communications
- DealFlow is NOT responsible or liable for any content, statements, promises, offers, agreements, or representations made in user messages
- DealFlow does NOT verify, endorse, or guarantee any claims made by users in messages
- Any agreements, deals, contracts, or arrangements made through messaging are solely between the users involved
- DealFlow bears NO liability for disputes, losses, damages, or claims arising from user communications
11.2 User Responsibilities
- You are solely responsible for all messages you send and their content
- You must conduct your own due diligence before acting on any information received via messaging
- You should independently verify all claims, credentials, and representations made by other users
- You assume all risks associated with communications and transactions with other users
- Do not share sensitive financial information (bank accounts, SSN, etc.) through messaging
11.3 Prohibited Message Content
- Spam, unsolicited commercial messages, or bulk communications
- Harassment, threats, abuse, or intimidation
- Illegal, fraudulent, or deceptive content
- Offensive, discriminatory, or inappropriate material
- Attempts to circumvent the Platform or conduct transactions off-platform to avoid fees
11.4 Limited Access Rights
While DealFlow does not actively monitor messages, we reserve the right to access message content ONLY in the following limited circumstances:
- To investigate specific reports of abuse, fraud, or Terms violations when reported by a user
- To comply with valid legal process, court orders, or law enforcement requests
- To protect the safety of users or the public in emergency situations
- To enforce these Terms of Service when a violation has been reported
Disclaimer of Liability
DEALFLOW EXPRESSLY DISCLAIMS ALL LIABILITY FOR USER MESSAGES AND COMMUNICATIONS. We do not guarantee message delivery, security, or accuracy. Users communicate at their own risk. DealFlow is not responsible for any losses, damages, or harm resulting from messages, including but not limited to fraud, misrepresentation, failed transactions, or disputes between users.
12. Referral Program
We may offer referral programs to encourage user growth. If you participate in any referral program:
- You may only refer real individuals who have consented to receive information about DealFlow
- You may not use spam, misleading tactics, or automated systems to generate referrals
- Any rewards or benefits are subject to our verification and may be revoked for abuse
- We reserve the right to modify or terminate referral programs at any time
- Self-referrals or referrals to accounts you control are prohibited
Referral program terms may change without notice. Abuse of the referral system may result in forfeiture of rewards and account suspension.
13. Prohibited Conduct
You agree NOT to engage in any of the following prohibited activities:
Fraud & Misrepresentation
- Posting false or misleading information
- Impersonating others or misrepresenting your identity
- Creating fake accounts or profiles
- Engaging in any form of fraud or scams
Harassment & Abuse
- Harassing, threatening, or abusing other users
- Sending spam or unsolicited communications
- Stalking or intimidating behavior
- Discriminatory conduct of any kind
Technical Violations
- Attempting to hack or compromise the Platform
- Collecting data without permission
- Using bots or automated tools
- Interfering with Platform operations
Legal Violations
- Using the Platform for illegal purposes
- Violating intellectual property rights
- Money laundering or financial crimes
- Violating real estate laws or regulations
Violation of these prohibitions may result in immediate suspension or termination of your account, and we may report illegal activities to appropriate authorities.
14. Intellectual Property
All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof, are the exclusive property of DealFlow or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may NOT:
- Copy, modify, or distribute our intellectual property without permission
- Use our trademarks, logos, or branding without authorization
- Reverse engineer, decompile, or disassemble any part of the Platform
- Remove any copyright, trademark, or other proprietary notices
- Create derivative works based on our Platform
- Use our intellectual property to compete with us
15. User Content
By posting, uploading, or submitting any content to the Platform ("User Content"), you grant DealFlow a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with the Platform and our business.
You represent and warrant that:
- You own or have the necessary rights to the content you post
- Your content does not violate the rights of any third party
- Your content is accurate and not misleading
- Your content complies with these Terms and all applicable laws
We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful, offensive, or otherwise inappropriate.
16. Third-Party Services
Our Platform may contain links to third-party websites, services, or resources. We do not control and are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms and policies of those services.
We may use third-party service providers to help operate our Platform, including but not limited to hosting providers, analytics services, and payment processors. These providers have access to your information only to perform specific tasks on our behalf and are obligated to protect your information.
17. Fees and Payments
DealFlow offers subscription-based access to our Platform. By subscribing to our services, you agree to the following terms:
17.1 Subscription Plans
- Buyer Plan ($2.99/month): Access to browse deals, view property details, and contact wholesalers
- Wholesaler Plan ($2.99/month): Access to post deals, manage listings, and connect with buyers
- Complete Plan ($4.99/month): Full access to all buyer and wholesaler features
17.2 Billing and Payment
- All payments are processed securely through Stripe
- Subscriptions are billed monthly on a recurring basis
- Your subscription will automatically renew unless cancelled
- You authorize us to charge your payment method on file for recurring fees
- Prices are in US dollars and may be subject to applicable taxes
17.3 Cancellation and Refunds
- You may cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of your current billing period
- You will retain access to paid features until your billing period ends
- No refunds are provided for partial billing periods
- We reserve the right to offer refunds at our sole discretion
17.4 Price Changes
- We reserve the right to change subscription prices at any time
- We will provide at least 30 days notice before price changes take effect
- Continued use after price changes constitutes acceptance of new pricing
- You may cancel before price changes take effect
DealFlow is not a party to any financial transactions between users. Any fees, commissions, or payments related to real estate transactions are solely between the transacting parties.
18. Disclaimers
Please read this section carefully as it limits our liability
THE PLATFORM AND ALL CONTENT, MATERIALS, INFORMATION, SERVICES, AND PRODUCTS AVAILABLE THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
We specifically disclaim any warranties regarding:
- The accuracy, reliability, or completeness of any deal listings or user information
- The legality, validity, or enforceability of any contracts or transactions
- The qualifications, credentials, or trustworthiness of any users
- Property values, ARV estimates, or potential returns on investment
- The outcome of any transaction or business relationship formed through the Platform
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEALFLOW, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE PLATFORM EXCEED THE AMOUNT YOU HAVE PAID TO US, IF ANY, FOR USE OF THE PLATFORM DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
20. Indemnification
You agree to defend, indemnify, and hold harmless DealFlow and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:
- Your use of and access to the Platform
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property or privacy rights
- Any content you post or submit to the Platform
- Your conduct in connection with the Platform
- Any real estate transaction you enter into through connections made on the Platform
21. Dispute Resolution
21.1 Informal Resolution
Before filing any legal claim, you agree to contact us at support@dealflowmarket.co to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your complaint.
21.2 Binding Arbitration
If we cannot resolve a dispute informally, all claims arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.
The arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
21.3 Class Action Waiver
YOU AND DEALFLOW AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
22. Termination
We may suspend or terminate your account and access to the Platform at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to:
- Violation of these Terms
- Fraudulent or illegal activity
- Conduct that we believe is harmful to other users or the Platform
- Requests by law enforcement or government agencies
- Extended periods of inactivity
- Technical or security issues
You may terminate your account at any time by deleting it through your account settings. Upon termination, your right to use the Platform will immediately cease.
All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
23. Modifications
We reserve the right to modify, suspend, or discontinue any part of the Platform at any time without notice. We also reserve the right to modify these Terms at any time.
When we make material changes to these Terms, we will:
- Update the "Last Updated" date at the top of this page
- Notify registered users via email
- Display a prominent notice on the Platform
Your continued use of the Platform after any modifications indicates your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Platform.
24. General Provisions
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and DealFlow regarding your use of the Platform.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.
